Terms of Service

By using PayPolka ("Service"), you agree to these terms. Please read them carefully.

1. Definitions

"Company," "we," or "us" refers to PayPolka and its operator. "Service" refers to the PayPolka web application and all related features. "You" or "your" refers to any individual or entity that creates an account or uses the Service.

2. Account Terms

  • You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • You are responsible for all content posted to and activity that occurs under your account, including content posted by others who have access to your account.
  • You must be a human. Accounts registered by bots or other automated methods are not permitted.
  • You must provide a valid email address to complete the signup process.
  • You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.

3. Payment and Billing

The Service is offered at a flat monthly rate. Payment is processed through a third-party payment provider. You are responsible for providing accurate and complete billing information.

There are no refunds for partial months of service. If you cancel your account before the end of your current billing period, your cancellation will take effect at the end of that period and you will not be charged again.

4. Cancellation and Termination

  • You are solely responsible for properly canceling your account. You can cancel at any time through your account settings or by contacting us.
  • Upon cancellation, your data will become inaccessible immediately. All data will be permanently deleted from our active systems within 30 days, and from backups within 60 days.
  • We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.
  • We reserve the right to refuse service to anyone for any reason at any time.

5. Modifications to the Service and Prices

We reserve the right to modify or discontinue, temporarily or permanently, any part of the Service at any time with or without notice.

If we change pricing, we will provide at least 30 days' notice to existing customers before new prices take effect. Price changes will not apply retroactively.

6. Content Ownership

You own your data. We claim no intellectual property rights over the content you provide to the Service. All data you upload, enter, or create remains yours.

We do not pre-screen content, but reserve the right to remove any content that violates these Terms or is otherwise objectionable, at our sole discretion.

You may export your data at any time. We will not hold your data hostage.

7. Privacy and Data Access

We take your privacy seriously. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

We do not access your account data unless required for support (with your explicit permission), to fix a bug, or as compelled by law.

8. Service "As Is"

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from use of the Service will be accurate or reliable.

You understand and agree that you use the Service at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.
  • Any errors, inaccuracies, or omissions in invoices, financial calculations, payment processing, or accounting reports generated by the Service.
  • Any tax reporting, tax obligations, or financial decisions made based on data provided by the Service.

In no event shall our total aggregate liability exceed the greater of the amount you paid us in the twelve (12) months prior to the event giving rise to the claim, or fifty dollars ($50).

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Financial Disclaimer

PayPolka is an invoicing and project management tool. It is not accounting software, tax software, or a financial advisor. The Service does not provide professional financial, tax, legal, or accounting advice.

You are solely responsible for the accuracy of the invoices, financial data, and tax information you create and send using the Service. You are solely responsible for complying with all applicable tax laws, reporting obligations, and financial regulations in your jurisdiction.

We strongly recommend consulting with a qualified accountant or tax professional regarding your specific financial obligations.

12. Payment Processing

PayPolka integrates with Stripe for payment processing. You connect your own Stripe account to accept payments from your clients. We are not a party to the transactions between you and your clients.

We are not responsible for any payment processing failures, delays, chargebacks, disputes, or fees imposed by Stripe or any other payment provider. Your use of Stripe is subject to Stripe's own terms of service and privacy policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Utah.

14. Changes to These Terms

We reserve the right to update these Terms at any time. When we make significant changes, we will notify you by updating the date at the top of this page and, where practical, by sending an email to the address associated with your account.

Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.
